waterfall analysis

Advanced 🚀 Startup / VC

Definition

A spreadsheet model showing how acquisition proceeds flow to different shareholders based on liquidation preferences and other terms—usually revealing that founders get far less than their ownership percentage suggests. It's where equity dreams go to die.

Example Usage

I own 18% of the company, but the waterfall analysis shows I'd get 3% of a $50M exit after all the liquidation preferences, participation rights, and accumulated dividends are paid.

Origin

Financial modeling terminology from investment banking and private equity

Fun Fact

Many founders never run a waterfall analysis until an acquisition offer arrives, leading to emergency therapy sessions when they discover their life's work earned them less than their lawyer's fees.
