Cease and Desist

Definition

A strongly worded letter that is the legal equivalent of your mom using your full name when she is angry. It demands you stop doing something immediately, or else they will send an even more strongly worded letter.

It's theft with extra steps and a fancier vocabulary, typically involving someone with financial access who decides their employer's money would look better in their own account. Unlike robbery, embezzlement requires both access and the audacity to pretend it's totally normal to redirect corporate funds to your offshore vacation fund.

A court's final decision that permanently bars a plaintiff from refiling the same claim, the legal equivalent of 'don't ever bring this nonsense here again.' The 'with prejudice' part means you got one shot and you blew it.

Containing a promise or pledge of future action, most famously in 'promissory note'—that IOU your friend gave you that you'll never actually collect on. In legal contracts, these provisions bind parties to specific future obligations. It's the contractual equivalent of pinky swearing, except enforceable in court.
